Terms of Service

Please read these Terms of Service ("Terms") carefully before using the services provided by DIO Networks ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use our services.

These Terms apply to all visitors, users, and clients of DIO Networks services, including but not limited to curated micro-events, executive roundtables, fireside chats, and event production services.

2. Services Description

DIO Networks provides business networking and event production services, including:

  • Curated micro-events at exhibitions and conferences
  • Executive roundtables and fireside chats
  • Panel debates and industry briefings
  • Workshop and masterclass facilitation
  • Event design, production, and management
  • Audience curation and invitation management
  • Lead capture and ROI reporting

Services are provided in accordance with the agreed scope of work outlined in individual service agreements or proposals.

3. Client Responsibilities

As a client of DIO Networks, you agree to:

  • Provide accurate and complete information for event planning
  • Respond to communications in a timely manner
  • Approve final guest lists, agendas, and event materials within agreed timelines
  • Make payment according to the terms outlined in your service agreement
  • Comply with exhibition rules and venue regulations
  • Respect intellectual property rights of all parties involved
  • Maintain professional conduct at all events

4. Pricing and Payment

4.1 Pricing

All prices are quoted in UAE Dirhams (AED) unless otherwise specified. Prices are subject to change without notice, but confirmed quotes remain valid for 30 days from the date of quotation.

4.2 Payment Terms

  • Deposit: 50% deposit required upon acceptance of proposal
  • Balance: Remaining 50% due 7 days before the event date
  • Payment Methods: Bank transfer, credit card, or other methods as agreed
  • Late Payments: Overdue invoices may incur a 5% monthly interest charge

4.3 Additional Costs

Any additional services or costs not included in the original proposal will be communicated and require written approval before implementation.

5. Cancellation and Refund Policy

5.1 Client Cancellation

  • 30+ days before event: 25% cancellation fee
  • 15-29 days before event: 50% cancellation fee
  • 7-14 days before event: 75% cancellation fee
  • Less than 7 days before event: 100% cancellation fee

5.2 DIO Networks Cancellation

We reserve the right to cancel services due to force majeure, venue unavailability, or other circumstances beyond our control. In such cases, we will provide a full refund or reschedule the event at no additional cost.

5.3 Postponement

Event postponements requested by the client may be subject to additional fees for rebooking vendors, venues, and services.

6. Intellectual Property

6.1 Ownership

All event concepts, designs, materials, and methodologies developed by DIO Networks remain our intellectual property unless otherwise agreed in writing.

6.2 Content Rights

Photos, videos, and other content captured at events may be used by DIO Networks for marketing and promotional purposes unless the client explicitly opts out in writing.

6.3 Client Materials

The client grants DIO Networks a non-exclusive license to use their branding, logos, and materials solely for the purpose of delivering agreed services.

7. Limitation of Liability

To the maximum extent permitted by law:

  • DIO Networks shall not be liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the total amount paid by the client for the specific service in question
  • We are not responsible for third-party vendor failures, venue issues, or force majeure events
  • We do not guarantee specific attendance numbers or business outcomes
  • Clients are responsible for verifying the accuracy of all materials provided to us

8. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:

  • Natural disasters, pandemics, or public health emergencies
  • War, terrorism, civil unrest, or government actions
  • Exhibition or venue cancellations
  • Strikes, labor disputes, or supplier failures
  • Technology failures or cyber attacks

In such cases, both parties will work in good faith to find an alternative solution or reschedule the event.

9. Confidentiality

Both parties agree to:

  • Keep confidential all non-public information shared during the engagement
  • Use confidential information only for the purpose of delivering/receiving services
  • Not disclose confidential information to third parties without written consent
  • Return or destroy confidential materials upon request or termination of services

Exceptions include information that is publicly available, independently developed, or required by law to be disclosed.

10. Dispute Resolution

10.1 Negotiation

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation.

10.2 Mediation

If negotiation fails, disputes will be referred to mediation before pursuing legal action.

10.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any legal proceedings shall be conducted in the courts of Dubai.

11. Warranties and Representations

DIO Networks warrants that:

  • Services will be performed with reasonable care and skill
  • We have the right to provide the services offered
  • Services will comply with applicable UAE laws and regulations

The client warrants that:

  • They have authority to enter into this agreement
  • All information provided is accurate and complete
  • They own or have rights to all materials provided to us

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

For significant changes, we will provide notice via email to our active clients.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
